All you need to know before using our APIs

Thank you for using our APIs.

Our APIs are designed to help you enhance the software applications, websites, or products you create or service you offer ("Client Application(s)"). The following terms of use that you need to comply whenever you decide to download and use our APIs.

By accessing or using our APIs, you are agreeing to (i) the terms below, (ii) any additional terms within the accompanying API Documentation, and (iii) any applicable policies and guidelines that we may make available to you (together the "API Terms"). Please read the API Terms carefully. If you do not accept our API Terms then you must not access or use our APIs and you should delete any API you may have downloaded.

These API Terms govern your use of our APIs. AXA Partners has affiliated legal entities around the world as defined below. These companies may provide our APIs to you and the API Terms will also govern your relationship with these companies, unless provided otherwise by such companies.

If there is a conflict between these API Terms and the contractual terms included in a Commercial Agreement as defined below, the terms of the Commercial Agreement shall apply.

If you are using the APIs on behalf of an undertaking, you represent and warrant that you have authority to bind that undertaking to the API Terms and by accepting the API Terms, you are doing so on behalf of that company (and all references to "you" or "your" in the API Terms shall also refer to that undertaking).

We may update these API Terms at any time. If you have been authorised to use our API, we will notify you of their modification. In any case you can always review the most current version of these API Terms on our website https://developers.axapartners.com. Any continued use of the APIs by you after you have been informed of such new API Terms shall be deemed as your consent and agreement to such new API Terms. If you do not agree to the new API Terms, you must stop using our APIs.

The agreement between you and us as governed by the API Terms will commence on the date upon which you agree to be bound by these API Terms or you start downloading or using our APIs and will remain in effect until you stop using our APIs or we terminate your access to the APIs.

WHO WE ARE?

DEFINITIONS

"AXA Partners" means AXA Partners Holding SA. Any reference to "we", "our" or "us" shall be a reference to AXA Partners or where applicable an AXA Partners Affiliate.

"AXA Partners Affiliate" means any company controlled by AXA Partners Holding SA; a company being considered as controlling another: (a) when it holds directly or indirectly a portion of the capital according to it the majority of the voting rights in general meetings of shareholders of this company and (b) in any event, when it holds, directly or indirectly, a portion of voting rights greater than 40% and when no other partner or shareholder holds directly or indirectly a portion which is greater than its own; and (c) any economic interest group or joint venture in which AXA Partners Holding SA and/or one or more other Companies of the AXA Partners Group participates for at least 50% in operating costs; (d) in the cases where the law applicable to a company limits voting rights or control (such as defined here in above), this company will be deemed to be a company of the AXA Partners Group, if the voting rights in general shareholders’ meetings or the control held by a Company of the AXA Partners Group reaches the maximum amount fixed by said applicable law. All AXA Partners Companies constitute the "AXA Partners Group". An entity that otherwise qualifies under this definition will be included within the meaning of "AXA Partners Company" even though it qualifies after the publication of the API Terms.

"API" means the publicly AXA Partners Application Programming Interface ("API") as well as the related documentation, made available by AXA Partners.

"Client Application" means any software application, website, or product you create or service you offer that uses our APIs in any way, directly or indirectly.

"API Documentation" means the documentation, data, content and information that AXA Partners provides regarding the use of the API.

"Access Credentials" means the necessary security keys, secrets, tokens, and other credentials to access our APIs. The Access Credentials enable us to associate your Client Application with your use of our APIs.

"Content" means all data uploaded, posted, transmitted or otherwise made available via interactions with the API.

"Personal Data" means any information relating to an individual (natural person) who is or can be identified, directly or indirectly, either from the data or from the data in conjunction with other information. It may be, as an example, a name, a surname, photography, an ID or an e-mail address.

"Commercial Agreement" means the agreement you may have signed with AXA Partners or one of its Affiliates for the provision of AXA Partners Services which require your access and your use of our APIs.

"AXA Partners Services" means any services provided by AXA Partners or an AXA Partners Affiliates in application of a specific Commercial Agreement between you and AXA Partners or an AXA Partners Affiliates, which require the use of our APIs.

"Data Breach" means a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, data transmitted, stored or otherwise processed. The breaches can be categorized as below:

"Metadata" means the metrics, and other pieces of data we collect with regards to the usage of the APIs.

"We", "Our" or "Us" means AXA Partners (or where applicable an AXA Partners affiliate).

"You" or "Your" means you or the undertaking on behalf of which you are acting.

CLIENT ACCOUNT & APPLICATION REGISTRATION

In order to benefit from AXA Partners Services via our APIs you need to:

Once you have successfully registered your Client Application, you will be given Access Credentials for your Client Application.

Any registration information you give us should always be accurate and up to date and you should inform us promptly of any updates.

All activities that occur using your Access Credentials are and shall remain at all times your responsibility. Access Credentials are non-transferable and non-assignable. You must keep them secret and not try, in any way whatsoever, to circumvent them.

ACCESS TO AND USE OF AXA PARTNERS APIS

Subject to your compliance with all of the API Terms, we grant you a limited, non-exclusive, revocable licence to use our API(s) to develop, test, and support your Client Application, and allow your end users to use your integration of our API(s) within your Client Application. Unless otherwise stated in the Commercial Agreement, that licence is non-assignable and non-transferable.

You will only access (or attempt to access) our APIs by the means described on the API portal. As a general manner APIs are accessible via OAuth2 protocol.

You will not misrepresent or mask your identity when using our APIs or accounts.

You will limit use of, and access to, the APIs and the Content to those persons authorized by you to use and access the APIs and the Content.

When you access and use our APIs, you are responsible for compliance with all applicable laws and regulations, as well as third party rights, including without limitation data privacy laws.

You are responsible to ensure that your Client Application is authorised in each of the territories where you make it available and complies with the laws and regulations of those territories and that your use of our APIs is not in breach of those laws and regulations.

You must not use our APIs to encourage or promote illegal activity or violation of third party rights.

You are responsible at any time for your breach or your Commercial Partners breach of the API Terms and may also incur your liability.

Should you be authorised to assign or transfer the licence to a Commercial Partner under a Commercial Agreement, you must require and ensure that your Commercial Partner comply with the API Terms as well as all applicable laws and regulation.

Except to the extent this restriction is expressly prohibited by applicable law, you and your Commercial Partners will not reverse engineer or attempt to extract the source code from any our APIs or any related software.

AXA PARTNERS APIS LIMITATIONS

We may set and enforce limits on your use of our APIs (e.g. limiting the number of API requests that you may make). You agree to and will not attempt to circumvent. If you would like to use any API beyond these limits, you must obtain our express consent.

AXA PARTNERS APIS PROHIBITION

When using our APIs, you may not:

AXA PARTNERS APIS CHANGES

You acknowledge that we may update or modify our APIs from time to time, and at our sole discretion. This will be done through the publishing of a new version of the APIs.

You are required to implement and use the most current version of our APIs and to make any changes that are required as a result of such updates, at your sole cost and expense. You agree to make all changes within 3 months of the release of a new stable version of an API. During this 3 months period, the previous version will be considered as "deprecated". Once this period has elapsed, the old version will no longer be accessible.

Your continued access or use of the APIs following an update or modification will constitute binding acceptance of the update.

CLIENT APPLICATION SECURITY

You acknowledge that the security and the confidentiality of the Content is critical to us and you warrant that your Client Application will be developed to operate with our APIs in a secure manner.

As a result, you must take all the appropriate technical and organisational measures to protect the confidentiality, the security and the integrity of the Content to which you could have access within the access and the use of our APIs.

Your network, operating system and the software of your servers, databases, and computer systems must be properly configured to securely operate your Client Application and store the Content collected through your Client Application and our APIs.

You must have a process to respond to any vulnerabilities in your Client Application, and in the case of any vulnerabilities related to your Client Application in connection to our APIs discovered by you or reported to you by a third party, you agree that you will provide vulnerability details to group.security@axa-assistance.com.

We may use technology to detect, prevent or limit the impact of any issues caused by your Client Applications (before or instead of suspension of your access).

In the event of a Data Breach involving your Client Application or any data collected through your Client Application and resulting from any aspect of our APIs, you will promptly contact the group.security@axa-assistance.com and provide details of the Data Breach. You agree to refrain from making public statements (e.g. press, blogs, social media, bulletin boards, etc.) without our prior written and express permission in each instance as it relates to our APIs.

INTELLECTUAL PROPERTY

We do not acquire ownership in your Client Applications, and by using our APIs, you do not acquire ownership of any rights in our APIs or the Content that is accessed through our APIs.

We and our third-party licensors own all rights, title and interest, including Intellectual Property Rights, in and to:

While you may use your own trademarks on the version of the service that you provide using our APIs, you must:

CLIENT APPLICATIONS MONITORING

You agree that we may monitor the use of our APIs to ensure quality, improve AXA Partners Services, and verify your compliance with the API Terms, and the Commercial Agreement if any. This monitoring may include AXA Partners accessing and using your Client Application, as well as on-site audit, for example to identify security issues that could affect AXA Partners or its users. You will not interfere with this monitoring. We may use any technical means to overcome such interference.

We may suspend access to our APIs by you or your Client Application without notice if we reasonably believe that you are in violation of the API Terms.

DISCLAIMER OF ANY WARRANTY

Our APIs are provided "AS IS" with no warranty, express or implied, of any kind and we disclaim any and all warranties and conditions, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, availability, security, non-infringement, except as otherwise provided in a Commercial Agreement. Your use of our APIs is solely at your own risk and you are solely responsible for any damage to your information system, services platform or any device or loss of data that results from such use.

We do not warrant that our APIs are free of errors, bugs, or interruptions, or are reliable, accurate, and complete.

Some of our APIs are Experimental (vexp) and should not be considered stable or production-ready in any manner. Your use of those experimental APIs, even if supported by a Commercial Agreement, is in any case at your own discretion and risk. You will be solely responsible for any damage that results from the use of those APIs including but not limited to, any damage to your computer system or any loss of data.

UNDER THESE TERMS, AXA PARTNERS IS ONLY LIABLE FOR DIRECT DAMAGES THAT SHALL BE LIMITED, IN CASE YOU PAY FEES TO AXA PARTNERS AND AXA PARTNERS AFFILIATES TO USE OUR APIs, TO SUCH FEES YOU PAID IN THE SIX (6) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO THE CLAIM SPECIFICALLY FOR SUCH APIs. YOU EXPRESSLY ACKNOWLEDGE THAT AXA PARTNERS (INCLUDING FOR AVOIDANCE OF DOUBT AXA PARTNERS GROUP) SHALL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES OR LOST PROFITS THAT MAY BE INCURRED BY YOU, INCLUDING ANY LOSS OF DATA, WHETHER OR NOT WE HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.

To the maximum extent permitted by law, You agree to defend, indemnify and hold harmless the AXA Partners Group and their respective directors, officers, employees, and agents from and against any and all third party claims, actions, suits or proceedings, as well as any and all liabilities, assessments, losses, damages, costs and expenses (including attorneys’ fees) resulting from or arising out of: (i) your breach of these API Terms; (ii) your infringement or violation of any intellectual property rights or violation of third-party rights; (iii) your breach of or non-compliance to any data protection and/or privacy laws or rules and (iv) misuse of our APIs by a third party where such misuse was made possible by your failure to take reasonable measures to protect our APIs.

CONFIDENTIALITY

You agree to keep confidential all information obtained from us in any form, including all Content, ("Confidential Information"), and will not disclose that Confidential Information to any person, or use that Confidential Information other than for the purpose described when you have registered your Client Application, without our consent.

The obligations of confidentiality contained in these API Terms do not apply to Confidential Information to the extent that it:

DATA PRIVACY

The protection of Personal Data is of high importance to us.

Whenever our APIs are used for the provision of AXA Partners Services, metadata are collected and processed by us for the purpose of traceability and incident management. They are kept during 90 days and automatically purged.

When you use our APIs it is your responsibility to comply with all applicable data privacy laws and regulations.

Your agreements with your end users and your privacy policy must meet applicable legal standards and accurately describe the collection, use, storage and sharing of all Personal Data.

You will implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk to protect your end user Personal Data collected by your Client Application from accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to.

NON-EXCLUSIVITY

The API Terms are non-exclusive. You acknowledge that, unless otherwise stated in a Commercial Agreement, we may develop products or services that may compete with your Client Application or any other products or services.

FEEDBACK/REPORTING

If you provide any feedback on our APIs or participate in any forum relating to our APIs or AXA Partners Services, you agree that we may use our suggestions, comments or other feedback in providing and improving the APIs and services we offer.

TERM AND TERMINATION

The API Terms commence on the date you accept them and shall continue for the time you use the APIs or we terminate your access to the APIs.

We may, at any time terminate your use of the APIs if you have breached these API Terms, or if you do not agree with the updated API Terms.

Without prejudice to the foregoing, e may terminate these API Terms in respect of any of our APIs for any reason upon thirty (30) days' written notice.

The Articles "Disclaimer of any Warranty", "Confidentiality", "Security", "Intellectual Property", "Term and Termination" shall continue after the termination or expiration of these API Terms.

Upon termination of the API Terms or discontinuation of your access to an API, you will immediately stop using the APIs and cease all use of our trademark and logo.

ASSIGNEMENT

AXA Partners (including any of its affiliates) shall be entitled to subcontract without your consent any of its obligations to a third-party subcontractor, provided AXA Partners (or the relevant affiliate) remains responsible for the acts and omissions of any subcontractor.

The rights granted in these Terms may not be assigned, delegated or transferred by You without our prior written approval.

We shall be entitled to assign or transfer or otherwise dispose of these Terms (or part thereof) to any company part of the AXA Partners Group, at our absolute discretion.

APPLICABLE LAW AND JURISDICTION

By accessing our APIs, you agree that the laws of France, without regard to conflicts of laws principles thereof, will apply to all matters relating to the use of our APIs.

In the case of a dispute, you agree to submit to the exclusive jurisdiction of the courts of Paris, France except where, by law, such dispute must be brought in the jurisdiction in which you are domiciled, or where the relevant law contains mandatory provisions that override such exclusive jurisdiction.
